Assistant Legal Counsel – Nottingham

About the role

We are recruiting an Assistant Legal Counsel to join our expanding Legal team. This is a newly created role in response to continued business growth and reports directly to our Legal Counsel. The role is ideal for someone with a corporate background in private practice looking for their first in-house move.

Principal responsibilities will include:

  • Supporting with M&A and investment opportunities
  • Assisting with group reorganisations and integration projects
  • Assisting with corporate governance matters for the group – including the issue / transfer of shares, shareholder meetings, board meetings and committee meetings
  • Company secretarial services including preparation of statutory documents and companies house filings across the group
  • Assisting the finance team with banking considerations
  • Assisting with all legal department initiatives and leading internal projects where necessary (e.g. employee incentive arrangements)
  • Assisting with the implementation of new legal processes and technology
  • Managing external law firms and ensuring firms comply with pre-agreed fee estimates
  • Supporting special projects and tasks, and providing prompt in-house legal advice to management and employees
  • Assisting the Legal team to develop a knowledge bank of precedent corporate documents
  • Supporting the development and delivery of legal training for staff
  • Preparing and arranging documents for signature across the group
  • Maintaining statutory books for the group
  • Filing and maintaining accurate legal records
  • Providing ad-hoc advice to the business in relation to a wide variety of matters which may include employment law related advice, commercial law advice and/or data protection advice

To succeed in the role, you will have the following skills & capabilities:

  • A UK qualified Solicitor with at least 2 years PQE, ideally with a corporate background
  • In house experience desirable but not essential
  • Sound understanding of the Companies Act
  • Experience of M&A and Private Equity transactions
  • Experience of drafting board minutes, shareholder resolutions and routine consents
  • Excellent oral and communication skills
  • An excellent communicator with enthusiasm for development
  • Comfortable taking on a high level of responsibility
  • Willing and enthusiastic to assist with legal work outside your core area of expertise (for example employment law or commercial law)
  • Proven ability to manage simultaneously a high volume of legal projects and a wide variety of legal issues
  • Experience of free drafting and developing precedent documentation
  • Company secretarial experience desirable but not essential
